Description:
Consider yourselves as a member of a team of financial analysts who recently reviewed the financial statements of, e.g., โABC plcโ for the year ended 2018-19 till 2021-22. A potential investor has approached you and has asked to prepare a report on the company and seek your suggestions for investment.
You must prepare a report for this potential investor covering the following areas:
a) An analysis of the groupโs financial performance (see further instructions given on the next page) referring to ratio analysis and other relevant information which provides information of interest to a potential investor.
Note: You must explain all aspects of a firm to measure performance in your reports, such as liquidity, leverage, profitability, investment and efficiency. Any additional and relevant ratios besides those given in the lecture slides but discussed in the lecture will be rewarded.

b) Review the corporate governance code of โABCโ plc based on their latest Annual Report and Accounts (i.e. 2021-22). What changes will be necessary to comply with the CG Codes of the country where โABCโ is registered (or Headquarters is located)?
Note: In your discussion, you will follow whether the company of your choice has complied with the corporate governance code of their parent country. If it does, explain how it is complying with the codes.
c) Discuss the future potentials of the company based on the Board Chairmanโs Statement (if not available, use the CEOโs statements).
Note: Include possible risks the company might face or currently facing to achieve future objectives or in the execution of future financial strategies.
d) Do a sensitivity analysis of some of their primary performance ratios. Provide a rationale for choosing any ratio for the sensitivity analysis.
e) Discuss their financial health using F-Score and Z-Score.
f) Provide clear advice and recommendations to the investor.
g) Make relevant peer and Industry analyses.
The marking scheme is available on page 5

We will be looking for five main things in your report:
1. The ability to relate the ratios to the financial performance of the business (focus on the ratios covered in the lectures). It is not enough to simply note that gearing has increased โ you have to say why it has increased. It could be to finance an acquisition; it could be as a result of trading losses. Remember, โfind the story, tell the storyโ.
2. The ability to study the accounts to find the information required. This could be in the narrative sections โ Chairmanโs Statement or Directors Report – or in the Notes to the accounts. Show the examiner that you have read and understood the detail in the accounts.
3. The ability to demonstrate an understanding of the relationships between the ratios. For example, if gearing increases, you might expect interest cover to decline as the level of interest increases to fund the debt. This includes understanding how the ratios relate to each other through the pyramid.
4. The ability to tailor the analysis to the needs of the particular user group you address. For example, a lender might be interested in cash flow and liquidity, whereas a shareholder might be more interested in ROCE and gearing levels. Ensure you address the userโs specific concerns in the question.
5. The ability to arrive at a clear conclusion. For example, an investor will want to know whether they should buy the shares or not. Therefore, make sure you base your findings on your previous analysis.
Please follow the Harvard referencing style where relevant. Please do not reference lecture slides and any Pedia (e.g. Wikipedia or Investopedia).
